Michael Whalen founded Whalen LLP in 2005. Prior to that time, Mike was a partner of O'Melveny & Myers LLP, one of the highest-rated law firms in the United States.
Mike is an experienced corporate lawyer. He has the highest possible peer review rating (AV) by Martindel-Hubbell.
Mike has the leading practice in the United States representing selling stockholders in IPOs and other public offerings. He has been selected to represent the selling stockholders in over 160 public offerings, almost all of them involving the first-tier investment banks and top law firms.
Mike represented MatlinPatterson, a $9 billion private equity fund, for many years, advising the fund with respect to its investments in portfolio companies in a variety of industries. He has worked on many billions of dollars in company sale and merger transactions for MatlinPatterson, including the merger of Standard Pacific Corp. and Ryland Group, Inc., the sales of XLHealth Corporation, Polymer Group, Goss International, Railworks, and KGEN Power and the signed-but-never-completed sales of chemical giant Huntsman Corporation first to Basell and then to Apollo.
Prior to focusing on representing selling stockholders, Mike was a general corporate lawyer.
He was a pioneer in creating the legal structure for fiber optic transactions (IRUs) that strongly influenced the development of broadband communications and the Internet.
He represented borrowers and lenders in many loan transactions and often represented lessees under equipment leases. He worked on convertible and high-yield debt offerings, having at various times represented the investment bank, the issuer, the equity sponsor and the indenture trustee.
Mike was involved in numerous equity financings of start-up and emerging growth companies, at times representing the company, the venture capitalist, the strategic investor or the angel investor.
